These terms govern your use of klaudius.dev (the “website”) and your purchase and use of Klaudius (the “product”). By accessing the website or using the product, you agree to these terms. If you do not agree, do not use them.
1. Who we are
Klaudius is operated by Cloudbot Limited (“we”, “us”, “our”), a company registered in England and Wales.
2. The product
Klaudius is a software toolkit installed via npm into the buyer’s local development environment. It provides scaffolding code, templates, and tooling for building bespoke websites and managing related project workflows. Klaudius is sold as a one-time-purchase digital product with a perpetual licence to the version purchased.
3. Licence grant
Subject to your compliance with these terms, we grant you a non-exclusive, non-transferable, perpetual licence to use Klaudius for your own commercial or personal use, on as many machines as you operate. The licence is granted to a single individual or single entity per purchase.
4. Restrictions
You may not:
- Resell, sublicense, redistribute, or share the source code of Klaudius with any third party
- Publish the source code in a publicly accessible repository
- Remove or alter copyright or licence notices in the code
- Use Klaudius’s branding (name, logo, marks) to promote your own competing product
- Use the source code to train AI models
5. Lifetime updates
Your purchase includes “lifetime updates”, which means: for as long as we continue to offer Klaudius as a commercial product, you receive at no additional cost every update we publish to the version line you purchased, including new template features, new skills, security and compatibility patches, and framework improvements. Updates are delivered through the in-product update mechanism (npx klaudius update).
“Lifetime” refers to the lifetime of the Klaudius product, not the lifetime of the buyer. We may discontinue Klaudius at any time. If we do, your perpetual licence to the last released version remains valid under the terms granted at purchase, and we will give reasonable advance notice by email to active customers and make a final tarball of the template available for self-hosted retrieval.
Nothing in this clause limits non-waivable rights you have under the consumer-protection law of the country in which you reside, including (where applicable) the UK Consumer Rights Act 2015, the EU Digital Content Directive 2019/770, the Australian Consumer Law, Brazil’s Código de Defesa do Consumidor, and equivalent regimes in other jurisdictions.
6. Disclaimer of warranties
Klaudius is provided “as is”, without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the product will be error-free, uninterrupted, or compatible with any third-party service.
7. Limitation of liability
To the fullest extent permitted by law, our liability under these terms is limited to the amount you paid for your Klaudius licence in the twelve months preceding the relevant claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
8. Indemnification
You agree to indemnify and hold harmless us from and against any claims, damages, losses, or expenses arising from your use of the product, including but not limited to violations of laws governing electronic communications, data protection, or consumer protection.
9. Termination
We may terminate your licence with notice if you breach these terms. On termination, you must cease all use of the product and destroy all copies in your possession.
10. Refunds
Klaudius is delivered immediately upon purchase. We offer a voluntary 7-day money-back guarantee from the date of purchase — see our Refund Policy for the full terms and process, including what happens to your licence after a refund and how we handle issues raised after the 7-day window.
11. Privacy
Your privacy is governed by our Privacy Policy.
12. Changes to terms
We may update these terms from time to time. Material changes will be communicated by email to active customers. Continued use of the product after a change constitutes acceptance of the new terms.
13. Sanctions and eligibility
By purchasing Klaudius you warrant that you are not located in, ordinarily resident in, or operating from a country or region subject to comprehensive sanctions imposed by the United Kingdom, European Union, or United States (including, at the time of writing, the Crimea, Donetsk, Luhansk, Kherson, and Zaporizhzhia regions of Ukraine, Cuba, Iran, North Korea, Russia, and Syria), and that you are not on any UK, EU, or US sanctions list. We reserve the right to refuse or cancel a sale at any time if these conditions are not met, with a full refund.
14. Assignment
We may assign these terms and the obligations under them to a successor entity in connection with a merger, acquisition, or sale of substantially all of the Klaudius business, in which case “lifetime updates” obligations transfer to the successor on the same terms. You may not assign your licence without our prior written consent.
15. Governing law
These terms are governed by the laws of England and Wales. Disputes shall be resolved in the courts of England and Wales. This choice of law and forum does not deprive you of the protection of any mandatory consumer-protection rules of the country in which you reside.
